SCOPE OF SERVICES
Digital Hunch Agency offers digital marketing services, including but not limited to search engine optimization (SEO), paid advertising, analytics, content creation, and marketing strategy development.
Our services aim to enhance online visibility, attract targeted audiences, and drive business growth for our clients.
Client Responsibilities
Clients must provide accurate and up-to-date information necessary for Digital Hunch Agency to provide services.
Clients are responsible for adhering to any applicable laws and regulations related to their use of our services, including, but not limited to, data protection and privacy laws.
Service Fees
Service fees are outlined in individual service agreements or contracts between Digital Hunch Agency and the client. Fees are based on the scope of services, duration, and any additional agreed-upon terms.
Payment terms, including invoicing schedules and accepted payment methods, will be specified in the service agreement.
Payment Terms
Clients agree to pay all fees in accordance with the payment terms specified in their service agreements. Unless otherwise stated, invoices are due upon receipt. Late payments may be subject to interest charges or suspension of services until payment is received.
Clients are responsible for any additional fees incurred, such as bank charges or currency conversion fees.
Confidentiality
Digital Hunch Agency and the client agree to maintain the confidentiality of any proprietary or sensitive information shared during the provision of services. This includes, but is not limited to, business strategies, financial information, customer data, and trade secrets.
Both parties shall take reasonable measures to prevent the unauthorized disclosure or use of confidential information.
Limitation of Liability
Digital Hunch Agency shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to loss of profits, revenue, data, or business interruption.
Our liability is limited to the extent permitted by law and shall not exceed the total fees paid by the client for the services provided within the preceding six months.
Intellectual Property Rights in Deliverables
All intellectual property rights related to the deliverables produced under the Contract, excluding client materials, shall be the exclusive property of Digital Hunch Agency. Upon payment of the relevant invoice, Digital Hunch Agency grants the Client a royalty-free standard license to use the deliverables for the purposes, territories, and products or services defined in the project agreement. This license shall remain in effect as long as the Client fulfills its payment obligations and does not engage in any actions that would result in termination, including but not limited to failure to pay fees, insolvency, dissolution, or cessation of business operations. In the event of termination, the Client's license to use the intellectual property rights in the deliverables shall automatically cease.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be resolved exclusively through arbitration in accordance with the rules of the American Arbitration Association.
Amendments
Digital Hunch Agency reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting on our website or notifying clients directly. Continued use of our services after the effective date of the amendments constitutes acceptance of the updated Terms.
